Terms of Service

These Terms of Service ("Terms") govern your access to and use of the BoothApps.ai platform and services operated by Innova.uno Sp. z o.o., a Polish limited liability company ("Innova.uno Sp. z o.o.," "we," "us," or "our").
By creating an account or using BoothApps.ai, you agree to these Terms. If you do not agree, do not use the service.
These Terms incorporate by reference our Privacy Policy and Data Processing Agreement, both of which form part of the agreement between you and Innova.uno Sp. z o.o..
This is a B2B service. BoothApps.ai is intended for use by businesses and professionals. By registering, you confirm that you are acting in a commercial capacity, not as a consumer.
1. Introduction and Acceptance
1.1 Parties
These Terms constitute a binding agreement between you ("Customer," "you," or "your") and Innova.uno Sp. z o.o., a Polish limited liability company with registration number KRS 0000417704, VAT ID PL5213629718, with its registered address at Byslawska 84, 04-993 Warsaw, Poland.
1.2 Acceptance
You accept these Terms by checking the "I agree to the Terms of Service and Data Processing Agreement" checkbox during account registration. If you do not agree, you may not create an account or use the service.
1.3 Authority
If you are registering on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "Customer" refers to the entity you represent.
1.4 Age Requirement
You must be at least 18 years old to create an account.
1.5 Related Documents
These Terms should be read together with:
- Our Privacy Policy, which explains how we collect and use personal data
- Our Data Processing Agreement, which governs the processing of event guest data on your behalf
1.6 Language
These Terms are drafted in English. If any translated version conflicts with the English version, the English version prevails.
2. Service Description
2.1 What BoothApps.ai Provides
BoothApps.ai is a B2B platform that provides AI-powered photo transformation workflows to photo booth operators. Each workflow is a pre-built AI processing pipeline that transforms guest photos into stylized images, videos, or personalized documents.
2.2 What Is Included with Each Purchase
Each workflow purchase includes:

2.3 Definition of "Transformation"
A "Transformation" is one submission to the webhook endpoint — typically consisting of an input photo and optionally guest survey data (e.g., preferences, interests, or personal characteristics) — processed through the AI workflow to produce one or more output files (images, videos, or documents). Each Transformation consumes one unit from the purchased allowance.
2.4 Platform Role
BoothApps.ai is a technology platform. We do not operate photo booths, attend events, or interact directly with event guests. You are solely responsible for:
- Operating the photo booth hardware and software at your events
- Integrating your booth software with the webhook URL we provide
- All interactions with event guests, including obtaining any required consents
- Ensuring the quality and suitability of input photos submitted for processing
2.5 AI Providers
BoothApps.ai uses third-party AI providers to process transformations. These providers and models may change over time to maintain quality and reliability. Changes to AI providers do not constitute a change to the service and do not entitle you to a refund.
3. Account and Eligibility
3.1 Eligibility
To use BoothApps.ai, you must:
- Be at least 18 years old
- Be acting in a commercial or professional capacity (this is a B2B service)
- Not be located in a restricted territory (see Section 11)
3.2 Registration
Account registration requires:
- A valid email address
- A password
- A phone number (used for critical usage alert SMS)
- Acceptance of these Terms and the Data Processing Agreement
3.3 Account Security
You are responsible for keeping your login credentials confidential and for all activity that occurs under your account. You must notify us immediately at hello@boothapps.ai if you suspect unauthorized access.
3.4 Accurate Information
You must provide accurate and complete registration information and keep it current. We may suspend accounts with demonstrably false information.
3.5 One Account Per Entity
One account per business entity is the standard arrangement. Contact hello@boothapps.ai if you require multi-user access.
4. Pricing and Payment
4.1 Purchase Model
BoothApps.ai operates on a per-event, one-time purchase model. Each purchase grants the right to use one workflow for one event. There are no traditional recurring subscriptions — the only recurring billing element is a $0/month technical subscription used to store your payment method when Auto Top-Up is enabled (see Section 4.4). This technical subscription carries no charge on its own.
Workflow prices vary by type. Current pricing is listed on our pricing page. Prices are subject to change, but changes do not affect completed purchases.
4.2 Payment Processing
All payments are processed by Paddle.com Market Limited ("Paddle"), which acts as our Merchant of Record. Paddle handles:
- Payment collection and processing
- Tax calculation, collection, and remittance
- Invoice issuance (invoices are issued by Paddle, not Innova.uno Sp. z o.o.)
By completing a purchase, you also agree to Paddle's Terms of Service and Paddle's Privacy Policy.
All prices are displayed in USD. Where local currency equivalents are shown, they are approximate and the actual charge in your local currency is determined by Paddle at the time of payment.
4.3 Top-Up Packages
If you need additional transformations or video clips beyond your included allowance, you may purchase top-up packages at any time. Top-up packages, quantities, and pricing are listed in your dashboard and may be updated from time to time.
Top-up credits are added to your account balance and take effect immediately. They are not tied to a specific purchase — unused top-up credits remain on your account and may be used with any current or future purchase.
4.4 Auto Top-Up
You may enable Auto Top-Up on your account to avoid running out of transformations during a live event. When enabled:
- You select a top-up package size and a usage threshold (e.g., 90%)
- When any active workflow reaches the configured usage threshold, the system automatically charges your stored payment method and adds credits to your account balance
- You may set a maximum number of automatic top-ups as a spending cap
- Auto Top-Up can be disabled at any time from your dashboard
Payment method storage: Enabling Auto Top-Up requires a one-time checkout to securely store your payment method with Paddle. This is handled via a $0/month technical subscription — it exists solely to store your card details and carries no charge on its own. When a top-up is triggered, a separate one-time charge is made for the top-up package amount. The technical subscription is canceled automatically when you disable Auto Top-Up.
Failed charges: If an automatic charge fails (e.g., insufficient funds, expired card), we will notify you via email and SMS. Auto Top-Up remains enabled — you can update your payment method or purchase a manual top-up. We do not retry failed charges automatically.
Refunds for auto top-ups: Auto top-up charges follow the same refund rules as manual top-ups (see Section 5.4).
4.5 Video Add-On Packages
Some workflows support video output. Video clip packages can be purchased at the time of workflow purchase or later as top-ups. Video top-up packages, quantities, and pricing are listed in your dashboard and may be updated from time to time. Video top-up credits follow the same account-level balance and rollover rules as transformation top-ups (see Section 4.3).
5. Refund Policy
5.1 Refund Window
Workflows are activated automatically upon purchase. You may request a full refund provided both of the following conditions are met:
- The request is made at least 48 hours before the event date specified at purchase
- No transformations have been processed through the workflow (excluding complimentary test runs — see Section 6.6)
To request a refund, email hello@boothapps.ai with your purchase ID. Refunds are processed by Paddle to the original payment method. Processing typically takes 5–10 business days, depending on your payment provider.
5.2 No Refunds After Use
Once any transformations have been processed (beyond complimentary test runs), no refunds are available, regardless of how many transformations were consumed. This applies to both workflow purchases and top-up packages.
5.3 No Refunds for Output Quality
Dissatisfaction with the style, aesthetic, or quality of AI-generated outputs is not grounds for a refund. AI outputs are inherently variable — see Section 8.3 for our AI Output Disclaimer.
5.4 Top-Up and Video Add-On Refunds
Top-up packages (whether purchased manually or charged automatically via Auto Top-Up) are non-refundable once any credits from the package have been consumed. Since top-up credits are account-level and not tied to a specific purchase, consumption of any credits from the package — across any workflow — renders the package non-refundable. Unused top-up packages where no credits have been consumed are eligible for refund. Video top-up packages follow the same refund rules as transformation top-ups.
5.5 Technical Failures
If you experience a documented technical failure on our side (e.g., webhook unreachable, processing errors affecting a significant portion of your event), contact hello@boothapps.ai. We may, at our sole discretion, issue refunds, credits, or reprocessing outside the standard refund terms.
5.6 Payment Disputes
Payment disputes and chargebacks are handled by Paddle as Merchant of Record in accordance with Paddle's dispute resolution process.
6. Usage Limits and Overages
6.1 Included Transformations
Each workflow purchase includes a set number of AI transformations, which varies by workflow type and the package selected at checkout. Each submission to the webhook consumes one transformation.
6.2 Usage Notifications
We send notifications as you approach your transformation limit:

If Auto Top-Up is enabled (see Section 4.4), the system will automatically add credits to your account when any active workflow reaches your configured usage threshold. Usage notifications are still sent regardless of Auto Top-Up status. If Auto Top-Up is not enabled, we recommend purchasing a manual top-up package when you receive the 95% notification, especially if your event is still in progress.
6.3 Hard Limit
Processing automatically stops at a hard limit set above your purchased transformation count (default: 115% of the purchased amount, e.g., 575 transformations for a 500-unit purchase). When the hard limit is reached:
- The webhook returns an error response
- No further transformations are processed
- You are notified via email and SMS
Processing resumes immediately once additional transformations are added — whether via a manual top-up purchase or an automatic top-up charge. If Auto Top-Up is enabled, the system will attempt to add transformations before the hard limit is reached, reducing the likelihood of processing interruptions during your event.
6.4 Transformation Allowances
Transformations included with the base workflow purchase are scoped to that specific purchase and do not roll over.
Credits from top-up packages (manual or automatic) are maintained at the account level. Unused top-up credits remain on your account indefinitely and may be consumed by any current or future purchase. Top-up credits are consumed only after the base workflow allowance has been exhausted.
6.6 Complimentary Test Runs
Each workflow purchase includes a small number of complimentary test transformations (currently up to 10) that do not count against your purchased allowance. Test runs allow you to verify your integration before the event. Test runs are clearly marked in the dashboard.
6.5 Output Storage
AI-generated outputs (images, videos, documents) are stored for 1 year (365 days) from the date of creation. After 1 year, outputs are permanently deleted and cannot be recovered. You are responsible for downloading your outputs before the expiry date.
7. Acceptable Use
7.1 Permitted Use
You may use BoothApps.ai for professional photo booth operations at events, including but not limited to weddings, corporate events, parties, trade shows, and other social or business gatherings.
7.2 Prohibited Conduct
You must not:
- Illegal content: Submit photos containing illegal content, child sexual abuse material, or content that violates applicable laws
- Non-consensual content: Use the service to generate deepfakes, non-consensual intimate imagery, or content intended to harass, defame, or deceive
- Unauthorized photo processing: Process photos of individuals without their knowledge or consent (you are responsible as the data controller for guest data)
- Reverse engineering: Attempt to reverse-engineer, decompile, or extract the source code of the platform or its workflows
- Webhook sharing: Share your webhook URL and credentials with third parties for the purpose of subletting or reselling the service
- Geographic circumvention: Circumvent geographic restrictions using VPNs, proxies, false business information, or other means (see Section 11)
- Technical abuse: Attempt to exceed the hard limit through technical manipulation, interfere with rate limiting, or attack the service infrastructure
- Reselling: Resell, redistribute, or white-label the service without written authorization from Innova.uno Sp. z o.o.
- Bulk processing: Use the service for bulk commercial image processing unrelated to photo booth events
7.3 Customer Responsibility for Guest Data
As the data controller for event guest data, you are solely responsible for:
- Obtaining any consents required under applicable data protection law before submitting guest photos and phone numbers to our service
- Informing guests about how their data will be processed (see our DPA for details)
- Complying with all applicable data protection regulations in your jurisdiction
7.4 Enforcement
We reserve the right to suspend or terminate your access if we determine, in our reasonable judgment, that you have violated this section. Termination for violation of the Illegal Content, Non-Consensual Content, or Unauthorized Photo Processing rules in Section 7.2 may be immediate and without refund.
7.5 Indemnification
You agree to indemnify, defend, and hold harmless Innova.uno Sp. z o.o. and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) your breach of these Terms; (b) your use of the service in violation of applicable law; (c) any claim by a third party (including event guests) related to content you submitted to the service or your failure to obtain required consents; or (d) your violation of the Acceptable Use policy in Section 7.2.
8. Service Availability and Quality
8.1 No Uptime Guarantee
BoothApps.ai is provided on a commercially reasonable efforts basis. We do not provide a guaranteed uptime SLA. We will notify you of scheduled maintenance in advance where practicable.
To improve reliability, we employ a dynamic fallback system for AI image generation. If a primary AI provider experiences errors or degraded performance, the system automatically routes transformations to an alternative provider. This reduces the impact of individual provider outages, though some transformations may fail with the initial provider before the fallback activates.
We are not liable for service interruptions caused by third-party infrastructure providers, AI providers, or events beyond our reasonable control.
8.2 Activation Timeline
We target activation of purchased workflows within 24 hours of payment. Activation is a manual process performed by our team and may be subject to business hours. This is a target, not a guaranteed SLA. Activation may take longer during high-demand periods or for workflows requiring additional configuration.
We recommend purchasing your workflow at least 4 days before your event to allow time for activation, integration testing, and any necessary support communication.
If your workflow has not been activated within 72 hours of purchase, contact hello@boothapps.ai.
8.3 AI Output Disclaimer
AI-generated outputs are inherently variable. You acknowledge and accept that:
- The same input photo may produce different outputs across processing runs
- Output quality depends significantly on input photo quality, lighting, subject positioning, and background conditions
- Outputs may not match preview images, example galleries, or your specific aesthetic expectations
- AI models and providers used to generate outputs may change over time
- Some outputs may contain artifacts, inconsistencies, or unexpected results due to the nature of generative AI
BoothApps.ai does not guarantee any specific visual result, artistic quality, processing speed, or fitness of outputs for a particular purpose. Processing times vary depending on the workflow type, AI model used, and provider load.
8.4 Support
Email support is included with every purchase at hello@boothapps.ai. We target a response within 1 business day, though this is not a guaranteed SLA.
Support covers: technical issues with webhooks, activation, dashboard access, output delivery, and account management.
Support does not cover: aesthetic consultation on AI output quality, custom workflow development, or third-party photo booth software configuration.
We do not offer 24/7 support or live event support. It is strongly advised that you test your workflow integration with your photo booth software well in advance of your event — ideally at least 4 days before — to allow sufficient time for any troubleshooting or support communication. We cannot guarantee the ability to resolve issues in real-time during a live event.
9. Intellectual Property
9.1 Platform Ownership
Innova.uno Sp. z o.o. owns all rights, title, and interest in the BoothApps.ai platform, including the software, workflows, workflow engine, dashboard, branding, and documentation. This includes the creative concepts, designs, report structures, methodologies, and scoring systems underlying each workflow (e.g., the structure and logic of personalized analysis reports, career vision boards, personality assessments, and similar outputs). Nothing in these Terms transfers any platform IP to you.
You may not use AI-generated outputs or their structure to reverse-engineer, recreate, or develop competing workflows or services that replicate the methodology, format, or logic of Innova.uno Sp. z o.o.'s workflow designs.
9.2 Your License to Use the Service
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the BoothApps.ai platform for the duration of your purchased event period and the 1-year output storage window. This license is for your internal business use only.
9.3 Your Content
You retain all rights to photos, logos, and other content you upload to the service ("Your Content"). You grant Innova.uno Sp. z o.o. a limited license to process Your Content through our AI pipeline solely for the purpose of delivering the service.
Innova.uno Sp. z o.o. does not use Your Content to train AI models. However, Your Content is processed by third-party AI providers to deliver the service. While we select providers whose terms do not permit the use of API-submitted content for model training, we cannot guarantee the internal practices of every third-party provider. We monitor provider terms and select providers that commit to not using API input data for training purposes.
9.4 AI-Generated Outputs
Ownership of AI-generated outputs ("Output Content") is assigned to you upon generation, subject to these Terms. We retain no rights to Output Content beyond the right to store it for the 1-year period and to serve it to you and your event guests.
You are responsible for ensuring you have the rights necessary to commercialize or distribute Output Content. We do not represent that AI-generated outputs are free from third-party intellectual property claims. Outputs may also be subject to the terms of the third-party AI providers used to generate them.
9.5 Feedback
If you submit feedback, feature requests, or suggestions about the service (whether through our feedback portal or otherwise), you grant Innova.uno Sp. z o.o. a perpetual, worldwide, royalty-free license to use that feedback without obligation to you.
10. Limitation of Liability
10.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. Innova.uno Sp. z o.o. DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY OF AI-GENERATED OUTPUTS.
10.2 Exclusion of Consequential Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, Innova.uno Sp. z o.o. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Lost profits or revenue
- Loss of business opportunity
- Data loss or corruption
- Reputational harm
- Event failure or disruption
- Costs of procuring substitute services
This applies regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
10.3 Liability Cap
Innova.uno Sp. z o.o.'s total aggregate liability for any claim arising out of or related to these Terms shall not exceed the amount paid by you for the specific purchase giving rise to the claim.
10.4 Essential Exceptions
Nothing in this section limits liability for:
- Death or personal injury caused by negligence
- Fraud or fraudulent misrepresentation
- Any other liability that cannot be excluded or limited by applicable law
10.5 Force Majeure
Innova.uno Sp. z o.o. is not liable for any failure or delay in performing obligations due to circumstances beyond our reasonable control, including but not limited to: internet or telecommunications outages, AI provider failures, third-party service outages, power failures, natural disasters, pandemics, acts of government, or cyberattacks.
11. Geographic Restrictions
11.1 Restricted Territories
The service is not available to businesses registered or operating primarily in the following territories:
- Poland — restricted for operational reasons
- Sanctioned territories — countries subject to EU, US, or UK sanctions programs, including but not limited to Russia, Belarus, North Korea, Iran, Syria, and Cuba
The list of restricted territories may be updated from time to time. Restrictions are enforced at registration, payment, and infrastructure levels.
11.2 Circumvention
Circumventing geographic restrictions — including via VPNs, proxy services, false business information, or any other means — constitutes a material breach of these Terms. We may terminate any account discovered to have circumvented these restrictions immediately and without refund.
12. Termination
12.1 Termination by You
You may stop using the service at any time. Unused purchases are subject to the refund policy in Section 5.
To request account deletion, contact hello@boothapps.ai. Upon account deletion:
- Your profile data will be deleted
- Purchase records will be retained for 5 years as required by Polish accounting law
- AI-generated outputs will be retained until their 1-year expiry, then deleted

12.2 Termination by Us
We may suspend or terminate your access to the service if:
- You breach these Terms
- You engage in fraudulent or abusive activity
- You circumvent geographic restrictions (see Section 11)
- Required by law or legal process
For non-critical breaches, we will provide written notice and a 14-day cure period before termination. Breaches involving illegal content, fraud, or geographic circumvention are grounds for immediate termination without notice or refund.
12.3 Effect of Termination
Upon termination:
- Your right to access the service ends immediately
- Any active Auto Top-Up subscriptions are canceled automatically — no further charges will be made
- AI-generated outputs remain stored until their 1-year expiry date (unless termination is due to illegal content, in which case outputs may be deleted immediately)
- Purchased but unused transformations are forfeited if termination is for cause
The following sections survive termination: Sections 5 (Refund Policy), 9 (Intellectual Property), 10 (Limitation of Liability), 15 (Governing Law), and 17 (General Provisions).
12.4 Service Discontinuation
We reserve the right to discontinue the BoothApps.ai service in its entirety with 90 days' written notice to registered Customers. In the event of full service discontinuation, we will provide pro-rata refunds for purchases where the associated event has not yet occurred.
13. Third-Party Services
13.1 Service Dependencies
BoothApps.ai relies on third-party services to operate:

13.2 AI Provider Changes
The specific AI models and providers used to process your transformations may change over time to ensure the best quality and reliability. Sub-processor changes are governed by the Data Processing Agreement, which provides for notification of changes. Such changes do not constitute a material change to the service.
13.3 Third-Party Failures
We are not liable for service outages, data loss, or performance degradation caused by third-party providers. Our dynamic fallback system (see Section 8.1) is designed to minimize the impact of individual provider failures by automatically routing to alternative providers. However, some transformations may fail before a fallback activates. If a third-party failure causes transformation failures during your event, we will make commercially reasonable efforts to investigate and, where possible, reprocess affected images — but we do not guarantee recovery.
13.4 Third-Party Terms
Your use of Paddle's checkout constitutes acceptance of Paddle's own terms. We are not responsible for changes to third-party providers' terms, pricing, or service availability.
14. Affiliate Program
14.1 Program Overview
BoothApps.ai operates an affiliate referral program. Participation is by application and subject to approval by Innova.uno Sp. z o.o.. We reserve the right to modify, suspend, or terminate the affiliate program at any time with reasonable notice to active affiliates.
14.2 Eligibility
To apply for the affiliate program, you must:
- Have at least one active or completed purchase on BoothApps.ai
- Not be located in a restricted territory (see Section 11) — the affiliate program is not available to businesses or individuals based in Poland or other restricted territories
- Operate as a registered business entity (sole proprietorship, company, or equivalent in your jurisdiction)
- Provide a valid business registration number and, where applicable, a VAT identification number during the application process
We do not accept individual (non-business) affiliates. Applications are reviewed and approved at our discretion. We may request additional documentation to verify your business status and tax residency.
14.3 Commission Structure

Commissions are calculated on the net purchase amount after Paddle fees and taxes. Your tier and coupon code are assigned upon approval.
14.4 Attribution
Referral attribution uses a 30-day cookie stored in the referred customer's browser, subject to their cookie consent preferences. Last-click attribution applies: if a customer uses multiple affiliate links, only the most recent referral is credited.
14.5 Payouts

We reserve the right to withhold payouts pending verification of referral legitimacy.
14.6 Prohibited Conduct
As an affiliate, you must not:
- Self-referral: Use your own coupon code to purchase workflows for yourself
- Misrepresentation: Make false, misleading, or exaggerated claims about BoothApps.ai or its services
- Brand bidding: Use paid advertising on Innova.uno Sp. z o.o. or BoothApps brand terms without written permission
- Coupon distribution: Post coupon codes to coupon aggregator or cashback websites without written approval
- Incentivized clicks: Pay or incentivize others to click your referral link without making genuine purchases
14.7 Affiliate Termination
We may suspend or remove individual affiliates from the program for:
- Fraud or manipulation of referral tracking
- Violation of the prohibited conduct rules in Section 14.6
- Extended inactivity (no referrals for 12 consecutive months)
- Changes to the affiliate program structure
Upon removal, any unpaid commissions meeting the minimum payout threshold will be paid within 30 days, unless removal was due to fraud or policy violations.
The affiliate program is non-exclusive. Innova.uno Sp. z o.o. may operate other referral, partnership, or promotional arrangements at its discretion.
14.8 Commission Clawback
Commissions are reversed in full if:
- The referred purchase is refunded
- The referral is discovered to have been generated through fraud, self-referral, or policy violations
If a commission has already been paid and is subsequently reversed, we may deduct the reversed amount from future payouts or invoice you directly for the amount owed.
14.9 Confidentiality
Your commission rates, custom tier details, and payout amounts are confidential. You must not publicly disclose these terms without written consent from Innova.uno Sp. z o.o..
14.10 Tax Responsibility
You are responsible for declaring and paying any taxes on commissions received in your jurisdiction. We will provide payout records upon request but do not provide tax advice.
15. Governing Law and Disputes
15.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Republic of Poland, without regard to its conflict of laws principles.
15.2 Dispute Resolution
In the event of a dispute, both parties agree to attempt informal resolution first by contacting hello@boothapps.ai. We will respond to dispute notices within 30 days.
If informal resolution fails within 60 days of the initial notice, either party may submit the dispute to the competent courts of Poland having jurisdiction over Innova.uno Sp. z o.o.'s registered address.
15.3 Limitation Period
Any claim arising out of or related to these Terms must be brought within one (1) year of the date the claimant knew or should have known of the cause of action, except where a longer limitation period is required by applicable law.
16. Changes to These Terms
We may update these Terms from time to time to reflect changes in our practices, technology, or applicable law.
Material changes will be notified via email to registered Customers at least 30 days before the change takes effect. The updated Terms will also be posted on our website.
Continued use of the service after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree with material changes, you may terminate your account within the 30-day notice period and request pro-rata refunds for unused purchases where the associated event has not yet occurred.
The "Last updated" date at the top of these Terms indicates the latest revision.
17. General Provisions
17.1 Entire Agreement
These Terms, together with the Privacy Policy and Data Processing Agreement, constitute the entire agreement between you and Innova.uno Sp. z o.o. with respect to the use of BoothApps.ai. They supersede all prior agreements, representations, and understandings.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving the parties' original intent.
17.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of our right to enforce that provision or any other provision in the future.
17.4 Assignment
You may not assign or transfer your account or any rights under these Terms without our prior written consent. We may assign these Terms to a successor entity in a merger, acquisition, or sale of all or substantially all of our assets, provided that the successor assumes the obligations under these Terms. We will notify you of any such assignment.
17.5 Notices
- To us: Send notices to hello@boothapps.ai. Notices are effective upon our written acknowledgment.
- To you: We send notices to the email address associated with your account. Notices are deemed received 24 hours after sending.
17.6 Independent Contractors
The relationship between you and Innova.uno Sp. z o.o. is that of independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship.
